Terms and Conditions

These Terms and Conditions govern your use of vendorasmc.com and services supplied by Vendora. A signed proposal, quotation, statement of work or service agreement may contain additional terms. If there is a conflict, the signed agreement will apply to that engagement.

1. Services

Vendora provides business consultancy, export marketing, B2B lead generation, digital services and support relating to Alibaba.com accounts, listings, storefronts, RFQs, advertising and store management. The exact scope, deliverables, timetable and fees are confirmed in writing before work begins.

2. Client responsibilities

You must provide accurate, lawful and complete company, product, pricing, certification and production information; nominate authorized contacts; provide timely approvals; and protect account credentials. You remain responsible for commercial decisions, quotations, product compliance, export documentation, taxes, pricing, production, delivery and promises made to buyers.

3. Third-party platforms

Alibaba.com and other platforms are independent third parties with their own rules, fees and decisions. Platform approval, verification, rankings, features, suspensions and policy changes are outside Vendora’s control. You must comply with each platform’s current terms and policies.

4. No guaranteed commercial results

Vendora will perform agreed services with reasonable care and professional effort. We do not guarantee rankings, inquiries, buyers, sales, orders, revenue, account approval or any particular commercial outcome. Results depend on factors including demand, product quality, price, competition, capacity, compliance and client responsiveness.

5. Fees and payment

Fees, taxes, payment dates and milestones are stated in the applicable quotation or agreement. Work may be paused if an amount is overdue. Third-party charges, advertising budgets, marketplace membership fees, verification fees, logistics and other external costs are separate unless expressly included in writing.

6. Changes and approvals

Requests outside the agreed scope may require a revised fee and schedule. Client approval of content, designs, listings, advertisements or platform submissions confirms acceptance of the supplied material at that stage.

7. Intellectual property

Upon full payment, the client receives the rights described in the applicable agreement for final approved deliverables. Vendora retains ownership of its pre-existing tools, templates, know-how and working methods. The client confirms it has permission to supply and use all trademarks, photographs, documents and other materials provided to Vendora.

8. Confidentiality

Each party will take reasonable care to protect non-public business information received for the engagement. Disclosure may be made to personnel and service providers who need the information to perform the work, or where required by law.

9. Prohibited use

You may not use Vendora’s services for unlawful, deceptive, counterfeit, restricted or rights-infringing products, false business claims, spam or any activity that violates a platform policy or applicable law. We may pause or terminate affected work.

10. Liability

To the extent permitted by applicable law, Vendora is not responsible for indirect or consequential loss, lost profit, lost opportunities, platform decisions or third-party service failures. Any direct liability will be limited as stated in the applicable agreement. Nothing in these terms excludes rights or liabilities that cannot lawfully be excluded.

11. Termination

Either party may terminate according to the signed agreement or our Refund and Cancellation Policy. Fees remain payable for completed work, committed resources and approved third-party costs.

12. Governing law

These terms are governed by the applicable laws of Pakistan. The parties should first try to resolve a dispute through good-faith discussion before pursuing available legal remedies.

13. Changes

We may update website terms from time to time. Changes do not replace the terms of an existing signed engagement unless agreed in writing.
